NERIVO / LEGAL

Nerivo Terms of Service

Welcome to Nerivo!

These Terms of Service (the “Terms”) explain the ground rules for our video platform — a free service where people discover popular creator-uploaded videos, watch them, pass them on and browse everything available — and they form a legally binding agreement between you and Nerivo. Any access to, or use of, our platform Services counts as your acceptance of every provision in these Terms and your agreement to be bound by them. Should any part of these Terms be unacceptable to you, do not access or use our platform Services.

Important Notice

Section 18 contains a binding arbitration clause. Apart from a small set of exceptions, including claims based on intellectual property infringement, we and you will settle all disputes through binding arbitration, and we both give up the right to start or join class action lawsuits.

1. Eligibility Requirements

  • Minimum Age: Registration on Nerivo, and use of the full range of our platform Services, demand that you are at least eighteen years old. If premium features arrive in the future, they may carry a higher minimum age, and this will be signalled clearly the first time you open such a feature.
  • Legal Capacity: Your use of Nerivo’s services confirms that you possess the legal capacity needed to enter into a binding agreement, to honour every term of this document, and to obey all relevant local, national and international laws and regulations.
  • Entity Use Authorization: When you use Nerivo for a business or a government body, you confirm that you are fully authorised to commit that organisation to all of the terms set out in these Terms.
  • Minor Access Prohibition: Persons below eighteen are barred from registering an account or using Nerivo’s platform Services. Where we reasonably believe an account belongs to an underage user, we may close it permanently without advance notice.

2. User License

  • Personal Use License: We give you a personal, worldwide, royalty-free, non-transferable license to reach and use every part of our platform Services — finding trending user-submitted videos, streaming, sharing and browsing content included — only for their intended purposes. This license holds good only while you remain in full compliance with these Terms.
  • Automatic Updates: Our platform Services may pull down and install software updates by themselves, for example patches for playback problems and brand-new features. You can switch off automatic updates in your mobile device’s system settings.
  • License Restrictions: Without written approval from Nerivo’s management team beforehand, you may not copy, modify, sell, reverse engineer or sublicense our proprietary software and services.

3. Content License to Nerivo

  • Ownership of Your Content: Everything you create, upload or share — videos, public comments, photos and captions, together called “Your Content” — remains fully owned by you. At the same time, you hand Nerivo a worldwide, royalty-free, sublicensable license to host, store, display, stream, format adjust (for instance, adapting video resolution for different screen sizes) and distribute Your Content. This license serves the operation, upkeep and improvement of our video platform only, including putting your uploads in front of other users.
  • License for Public Content: Media that you post in public spaces — trending video feeds and public comment sections, for example — is covered by a perpetual, worldwide, royalty-free, sublicensable license to Nerivo to broadcast, display, reproduce and build derivative works from it in public. Your video might, for instance, appear in a curated “Top Viral Videos” roundup. This license also lets us show your full name and profile picture next to your published content, and we owe you no extra payment for doing so.
  • Content Moderation Rights: We may inspect, remove or alter any of Your Content at any moment — deleting clips that break these Terms is one example. That said, we are under no legal duty to watch every piece of user-generated content on the platform. You alone answer for all Your Content that you publish on Nerivo.
  • Advertising Consent: In exchange for free access to video browsing and content sharing, you accept that Nerivo may run commercial advertisements across all platform Services.

4. Your Responsibility for Uploaded Content

  • Full Liability for Content: You carry full legal responsibility for all Your Content published on Nerivo. What you upload must not tread on third-party rights — background music copyright and trademark rights included — and must not break any applicable local or national law, such as rules against defamation or obscenity.
  • Prohibited Content: Uploading or sharing material that is unlawful, harmful, discriminatory (on grounds of race, gender, religion or other protected characteristics), graphically violent, sexually explicit, or that encourages harassment, exploitation or criminal behaviour is off limits. That covers child sexual abuse material (CSAM), hate speech and footage of crimes being committed.
  • Reporting Violations: Unlawful or unsuitable content, violent videos for instance, can be flagged through our built-in reporting tool or by writing to our official service inbox: [email protected]. Once a breach of these Terms is confirmed, our team may delete the offending content and suspend or terminate the responsible accounts.

5. Privacy of Your Data

The safety of your personal privacy matters enormously to us. Our official Privacy Statement, available inside the Nerivo mobile application, sets out in plain detail how we collect, use and share your personal data in relation to our video platform Services. Using any Nerivo service means you consent fully to every practice described in that Privacy Statement.

6. Prohibited Conduct

The following conduct is not allowed while you use Nerivo’s Services:

  • Harassing, threatening, intimidating or impersonating other users — for instance leaving abusive comments on creators’ videos or pretending to be somebody else.
  • Interfering with the platform’s security systems, getting around access controls, or employing automated tools like bots to harvest video data, inflate view counts artificially or disturb normal platform operation.
  • Distributing malicious software, spam messages or unlawful material, including child sexual abuse material (CSAM), through any part of our platform Services.
  • Putting Nerivo’s features to commercial use without our management team’s prior written approval — selling physical goods through video comments or promoting outside services, for instance.
  • Breaching third-party intellectual property, such as adding copyrighted music to videos without authorisation or bypassing the digital rights management (DRM) safeguards built into the platform.
  • Engaging in money laundering, fraud or the exploitation of vulnerable people. That includes anything involving child sexual abuse material (CSAM), which we treat under a strict zero-tolerance policy.

Zero-Tolerance Child Safety Policy

Nerivo runs a hard zero-tolerance policy against every form of child sexual abuse material (CSAM) on our platform. Report suspected prohibited material without delay. We will strip out all related content, suspend or permanently ban the responsible account, and work fully with law enforcement in any investigation.

7. Copyright Policy

We fully respect the intellectual property of creators and rights holders. If you genuinely believe that something on Nerivo — a user-uploaded video, say — infringes your copyright, send a written infringement notice to [email protected] that contains all of the following:

  • Your physical or electronic signature.
  • A detailed account of the copyrighted work that you say has been infringed.
  • The precise location of the infringing content, whether full video URLs or directions for finding it in the app.
  • Your complete contact details: name, mailing address, phone number and email address.
  • A statement, sworn under penalty of perjury, that you honestly believe the use of the material is not authorised by the copyright owner, its agent, or the law.

Accounts of registered users found, again and again, to have committed confirmed copyright violations may be closed on a permanent basis.

8. Account Rules

  • Account Security: Keeping your login credentials safe — your password included — is entirely your job. You may not hand over your login information or reach your Nerivo account through unauthorised third-party software.
  • Account Usage Rules: Unless official platform guidelines say otherwise, you may not open several duplicate accounts, sell or transfer an account, or bring back accounts that were disabled for policy violations.
  • Reporting Unauthorized Access: If you spot signs that your account has been accessed without permission — strange videos uploaded without you doing anything — get in touch with our support team at [email protected] right away.

9. Content Moderation

  • Automated and Human Review: Nerivo operates two review systems: automated detection software that looks for violent or sexually explicit video content, and trained human moderators who check all published content against our policies. Even so, we cannot promise perfect detection of every kind of prohibited content that users upload.
  • User Reporting: You can report unsuitable material, from harmful videos to spam comments, through the built-in reporting tool. Our moderation team tries to finish every reported violation review within 24 hours, and after confirming a policy breach we may delete the content or hand out temporary or permanent account suspensions.

10. In-App Purchases and Payments

Should Nerivo introduce optional premium features or virtual products later — ad-free streaming or exclusive locked trending content, for instance:

  • Transparent Pricing: Every price is displayed clearly before you finish any purchase. Payments are processed exclusively by authorised third-party payment providers such as the Apple App Store and Google Play Store.
  • No Refund Policy: Except where consumer protection laws — for example EU consumer regulations — require otherwise, all completed purchases are final and non-refundable. Subscriptions renew automatically unless you cancel through your app store account at least twenty-four hours before the next billing date. Cancelling does not get you a refund for the unused part of your current subscription period.
  • EU Consumer Rights: Users in the European Union may ask for a full refund on subscription purchases within fourteen calendar days of the purchase. This refund right stands only if you have not touched any premium features during those fourteen days.

11. Mobile Data Charges

You pay for all mobile data charges, text messaging fees and other telecommunications costs that arise while using Nerivo’s Services — streaming or uploading videos over a cellular network, for example. Ask your mobile service provider about data rates and billing.

12. Anti-Slavery and Anti-Human Trafficking Policy

Nerivo forbids every form of slavery, human trafficking and exploitation of vulnerable people. Report suspected violations to our official email address [email protected]. Our management team will investigate fully, delete all violating content and cooperate completely with the relevant law enforcement authorities.

13. Anti-Fraud and Compliance

  • Scam Prevention: Never send money to, or share financial information such as credit card numbers with, other platform users, and stay away from suspicious financial deals with them. Report every confirmed scam — users asking for payment through video comments, for example — to our service inbox at [email protected].
  • Anti-Money Laundering (AML) Compliance: To satisfy mandatory anti-money laundering legal requirements, Nerivo may ask for government-issued identity documents. If you refuse, or fail, to supply the requested identification, we may suspend your account access temporarily.

14. Service Changes and Account Termination

  • Service Modification Rights: Nerivo keeps the right to add new features such as in-app video editing tools, drop existing features, pause service or shut down all Nerivo services at any time, with or without notice. We will make reasonable efforts to tell registered users about major changes to core services, such as the permanent removal of core video-sharing functionality.
  • Account Suspension and Termination: For confirmed violations of these Terms, prolonged inactivity, or harmful behaviour, our management team may suspend or permanently terminate your account and revoke all access to our Services, with or without prior written notice. Once your account ends, you lose access to everything on the platform, including your uploads and any premium services you bought.

15. Indemnification

You undertake to indemnify, defend and hold harmless Nerivo, its affiliated companies, directors, employees and authorised third-party agents against all claims, damages, liabilities, costs and legal fees (full attorney fees included) that spring from your use of Nerivo’s Services, from any Your Content you post on the platform (copyright infringement lawsuits caused by your uploads, for example), or from any confirmed breach of these Terms.

16. Disclaimers

  • As-Is Service: All Nerivo Services come “as is” and “as available”, with no express or implied warranties of any kind. We do not promise uninterrupted service, flawless video playback, or total accuracy and safety of all user-generated content on the platform.
  • No Liability for User-Generated Content: Nerivo bears no legal responsibility for offensive, unlawful or misleading content posted by other users, harmful videos and false comments included. You browse user-generated content on the platform at your own risk.

17. Limitation of Liability

Any indirect, consequential or punitive damages of whatever kind shall not be recoverable from Nerivo or its partner entities. The combined maximum aggregate liability for all claims shall be capped at the higher of one hundred United States Dollars (USD 100) or the total sum paid by you to Nerivo during the twelve consecutive calendar months preceding the claim.

18. Binding Arbitration

  • Dispute Resolution: Most disputes between you and Nerivo go to binding arbitration rather than court litigation. A mutually agreed arbitration forum, such as USIETAC, will administer the arbitration under that forum’s official procedural rules.
  • Class Action Waiver: Disputes shall be heard individually, and consolidated or class action proceedings find no place under this agreement.
  • Opt-Out Right: You can opt out of this binding arbitration clause within thirty calendar days of your first use of the platform Services. To opt out, email a written notice to Nerivo’s management team at [email protected], or send it to the physical address shown in the Nerivo mobile app. Your notice must give your full name, the email address on your registered account, and an explicit statement that you are opting out of the arbitration clause.

19. Intellectual Property Statement

Every video that registered users upload to the Nerivo platform must be an original work they created themselves. Each uploading user must own the full intellectual property rights in the uploaded content — copyright, trademark, patent and trade secret rights, among others. Registered users may not upload or publish anything that infringes third-party intellectual property, including unauthorised copying, adaptation, editing or clipping of externally owned video, audio, text or image files. When our moderation team confirms infringing content, Nerivo may delete the material immediately, and we reserve the right to pursue full legal liability against the responsible user. If Nerivo suffers measurable financial losses directly caused by the infringement, the responsible user must compensate Nerivo in full.

20. Governing Law

The civil laws of the State of Delaware, excluding its conflict of law principles, govern these Terms exclusively.

21. Severability

If a court of competent jurisdiction finds any provision of these Terms unenforceable, that provision will be cut from the agreement, and every remaining provision stays in full legal force and effect.

22. Supplementary Terms

Some platform features, such as official creator monetization programs, may come with separate supplementary terms. Those terms will appear when you first open the relevant feature, and once you accept them they become legally binding parts of this agreement.

23. General Terms

  • Entire Agreement: These Terms of Service, together with our Privacy Statement and any supplementary feature terms, form the complete agreement between you and Nerivo, replacing all earlier oral or written agreements.
  • No Third-Party Beneficiaries: No third party — other Nerivo users included — gains any enforceable rights from this agreement.
  • Non-Waiver: If Nerivo’s management team lets a particular provision of these Terms go unenforced on one occasion, we still keep the right to enforce that same provision later, in cases of verified policy violation.
  • Assignment: You may not assign or transfer your rights under these Terms without prior written approval from Nerivo’s management team. Nerivo, at its sole discretion, may freely assign and transfer its rights and obligations under this agreement.
  • English Language Priority: If any translated version of these Terms conflicts with the original English version, the English version is the only legally authoritative one.
